MODERATOR: Wayne Brown (Principal at CLA): Wayne Brown focuses on business valuation and financial consulting engagements, and expert witness litigation support. Mr. Brown is a Principal providing services for the Valuation, Forensics, Litigation and Investigation group. He has more than 20 years of business experience, including business consulting, business valuation and expert witness testimony. He has been involved in a variety of valuation and litigation assignments such as financial reporting, tax-driven, shareholder dispute, damage claims, and lost profits analysis. His testimony has ranged from patent and trade secret damages to business valuation. Mr. Brown has performed financial analysis across many industries including, healthcare, veterinary science, dentistry/dental service organizations, life science, technology, consumer goods manufacturing, and food manufacturing and processing. In his practice, he applies accounting, financial and economic principles to provide solutions to financial issues primarily involving business and intangible asset valuation, as well as financial damages. He has been hired as a consultant to the U.S. Department of Justice and other regulatory bodies.
Prior to joining CliftonLarsonAllen, Mr. Brown managed the business valuation and litigation services function and worked as a financial analyst for two regional accounting firms. In his practice, he applies accounting, financial and economic principles to provide solutions to financial issues primarily involving business and intangible asset valuation, as well as financial damages.
PANELIST: Roger Jones (Partner at Bradley): Roger Jones's practice includes all aspects of creditors’ rights and insolvency, including bankruptcy, loan workouts and restructurings, receiverships, foreclosures and recoveries, lender liability, loan to own, acquisitions and dispositions of distressed assets, and distressed asset investing. His practice spans a wide range of industries, including bank and non-bank lenders, investors in distressed assets, legal, automotive, construction, commercial real estate, healthcare, insurance, manufacturing, technology, environmental, and oil and gas exploration.
Roger has extensive experience in representing secured and unsecured creditors in complex Chapter 11 cases, including bank and non-bank lenders, DIP lenders, landlords, equipment lessors, vendors and investors in distressed assets. He also has represented creditors in state and federal receiverships, collection actions, preference and fraudulent transfer litigation, lender liability litigation and other commercial litigation arising from debtor-creditor relationships.
Roger has extensive experience in loan workouts and recoveries and the use of loan-to-own strategies, public, private and strict foreclosures under Article 9 of the Uniform Commercial Code, purchases under Section 363 of the Bankruptcy Code, and other creative strategies to recover and create value related to distressed enterprises on behalf of original lenders and investors in distressed assets.
PANELIST: Dave Allen (Managing Director at Synovus): Dave Allen is Managing Director for Healthcare Corporate & Investment Banking with Synovus. The Synovus team serves a range of independent, sponsor-owned, and public healthcare businesses providing both financing and advisory services. Dave has been a principal lender and/or advisor on dozens of healthcare build-up platforms and hundreds of add-ons.
Dave co-founded Freeport Financial in 2005. He has also served as a board member and board observer for several businesses. Prior to Freeport, Dave was with GE Capital's Healthcare Financial Services Group and advised and financed companies through other firms and financial institutions.
Before entering banking, Dave served as an aide to Congressman Tom Campbell (Palo Alto-CA). He began his career as an analyst with Genentech, a biotechnology company.
Dave’s approach is to serve purpose-driven businesses with care, candor, and confidentiality; delivering financing and advice using data driven analysis informed by an understanding of the people who staff and lead these businesses
Dave holds an MBA in Finance and Accounting from the University of Chicago, and his BA in Economics and History from Northwestern University.
